Acceptable Use Policy

UPDATED IN MAY 2026

1. PURPOSE 

CARTPANDA INC., a corporation organized and existing under the laws of the State of Delaware, having its principal place of business address at 555 Republic Dr, Plano, Texas, 75074 (hereinafter referred to as “Cartpanda”), acts as the Merchant of Record and legal seller of all Products acquired by Buyers through Cartpanda’s system. This Acceptable Use Policy (the “AUP”) describes the goods and products that are prohibited or restricted in connection with the use of Cartpanda’s Services. 

This AUP addresses products and goods. Standards governing marketing, advertising, and promotional conduct are set out in Cartpanda’s Advertising & Media Policy, and the general prohibited and restricted categories, together with the applicable monitoring and enforcement framework, are set out in Annex II to the Terms. This AUP supplements those documents and provides an additional layer of product-level detail; it does not replace them. 

Capitalized terms used but not defined in this AUP have the meanings given to them in the Terms and Conditions for Cartpanda Inc. – Buyers and Suppliers, available at https://cartpanda.com/buyers-seller-terms (the “Terms”). References to a “Supplier” (or “product provider”) are used in accordance with the Terms; any reference to “Seller” in prior materials shall be understood as a reference to Supplier. 

2. GENERAL GUIDELINES 

The Supplier shall not offer, market, sell, or facilitate the sale of any product or good that is prohibited or restricted under this AUP, Annex II to the Terms, or the Online Prohibited List maintained at https://help.cartpanda.com/en-us/article/prohibited-products-and-activities-15b2dj0/ (the “Online Prohibited List”), each as updated from time to time and incorporated by reference into the Terms. 

The Online Prohibited List is maintained online and may be updated, supplemented, or amended by Cartpanda at any time and without prior notice. Any such update takes effect upon posting and may not be reflected in the text of this AUP or in Annex II. The version of the Online Prohibited List then published at https://help.cartpanda.com/en-us/article/prohibited-products-and-activities-15b2dj0/ is the controlling and authoritative source for the products and goods that are prohibited or restricted at any given time, and prevails over any list reproduced, summarized, or illustrated in this AUP. The Supplier is solely responsible for consulting the Online Prohibited List on a regular basis, on its own initiative, and for ensuring ongoing compliance with its then-current version. Cartpanda is under no obligation to notify, alert, or otherwise inform the Supplier of any change to the Online Prohibited List, and the Supplier’s continued use of the Services constitutes acceptance of the then-current version. 

Cartpanda retains the right, but not the obligation, to monitor and investigate any Product and the Supplier’s use of the Services at any time to verify compliance with this AUP and the Terms. Cartpanda’s determination of whether a violation has occurred is final and binding, and any enforcement action — including the decision to take no action — is at Cartpanda’s sole discretion, in accordance with Section 7.4 of, and Annex II (Section 7) to, the Terms. 

In the event of any conflict between this AUP, the Terms, Annex II, or the Online Prohibited List, the more restrictive provision prevails; and, to the extent required to resolve a conflict with the Terms, the Terms take precedence. 

Suspected violations may be reported through the “Flag Content” form on Cartpanda’s website or by email to report@cartpanda.com. 

2.1. Regulatory Framework and Applicable Local Law 

The Supplier shall comply at all times with the regulatory framework identified in the Terms (including Section 7.2) and in Cartpanda’s Advertising & Media Policy, which set out the principal laws, regulations, rules, and standards applicable to the sale and marketing of Products. That framework is incorporated into this AUP by reference and is not reproduced here. 

In addition, and without limiting the foregoing, the Supplier shall comply with all laws, regulations, rules, and requirements applicable in each jurisdiction in which the Supplier’s business is located or to which its Products are directed or targeted, as applicable. A Product or good that is lawful in one jurisdiction may be prohibited, restricted, or subject to specific licensing, registration, warning, or authorization requirements in another; the Supplier is responsible for identifying and satisfying the requirements applicable to its Products in each relevant jurisdiction. 

Nothing in this AUP relieves the Supplier of the obligation to obtain any license, permit, registration, or approval required in any applicable jurisdiction, and nothing in this Section modifies the governing-law, jurisdiction, or dispute-resolution provisions of the Terms. 

3. PROHIBITED AND RESTRICTED PRODUCTS 

The general categories of prohibited and restricted products, services, activities, and business types — including illegal products, adult content, UDAAP, financial products, gambling, cannabis and controlled substances, nutraceuticals and pseudo-pharmaceuticals, weapons, intellectual-property-infringing goods, non-fiat currency and stored value, tobacco, and jurisdiction-specific prohibitions — are set out in Annex II to the Terms and in the Online Prohibited List. The Supplier is responsible for reviewing both and ensuring ongoing compliance. 

This Section 3 sets out additional product-level detail that supplements Annex II. The categories below are illustrative, not exhaustive, and do not limit the broader categories in Annex II or the Online Prohibited List. 

3.1. Goods from Fauna, Flora, and Derivatives 

The Supplier shall not offer any Product involving:

•      flora and fauna that are extinct, endangered, or whose sale is prohibited by applicable law or regulation, or wildlife;

•      domestic animals whose breeding or sale involves any indication of mistreatment, animals bred for fighting, or their accessories;

•      items intended for capturing or treating prohibited species (for example, hunting traps, cages, terrariums, or aquariums);

•      shock or electric collars, or similar devices for animal training;

•      remains or parts of animals not in accordance with applicable legislation, or items made with ivory;

•      animal medications requiring a veterinary prescription or professional administration; and

•      goods contrary to the environmental legislation applicable in the relevant jurisdiction, or intended to circumvent, violate, or breach such legislation to the detriment of the environment — including, by way of illustration, fire-powered festival balloons, asbestos fibers, ozone-depleting substances subject to international sanctions, maritime driftnets exceeding 2.5 km in length, and cross-border trade in waste (except non-hazardous waste destined for recycling). 

3.2. Goods Requiring Governmental Approval or Registration 

The Supplier shall not offer any Product that has not been duly homologated, approved, registered, cleared, or authorized by the competent regulatory agencies of the applicable jurisdiction where such approval is required — for example, and depending on the market, the U.S. Food and Drug Administration (FDA) or Federal Communications Commission (FCC), or, in Brazil, ANVISA, ANATEL, INMETRO, or ANS, among other competent authorities in other jurisdictions — nor any Product that has been reported by a competent authority, recalled or withdrawn from the market by its manufacturer, or that represents a risk to the health, safety, or integrity of consumers. 

3.3. Goods Subject to Governmental Restriction 

The Supplier shall not offer any Product whose commercialization is restricted to a specific group or subject to legal warnings without the appropriate warnings required by law — such as alcoholic beverages and similar age- or condition-restricted goods. 

3.4. Replicas and Counterfeit Goods 

Consistent with Annex II (Section 3.9) to the Terms, the Supplier shall not offer any good that is an unauthorized imitation of an authentic item or that infringes the intellectual property rights of third parties, including: (a) replicas of goods from recognized brands; (b) goods using trademarks or logos without proper authorization; and (c) goods violating the copyrights or intellectual property of third parties. Suppliers are responsible for ensuring that all Products listed are authentic and lawful, and may report suspected replicas or counterfeit Products to report@cartpanda.com. 

3.5. Child Safety 

The Supplier shall not offer any Product, or post or upload any Materials, that exploit or abuse children, including any image or depiction of child abuse or sexual abuse, or that present a child in a sexual manner. This prohibition is absolute and admits no exception. Suspected violations will be reported to the competent authorities. 

3.6. Other Prohibited Goods 

The Supplier shall not offer any other Product that involves illicit activities or represents a violation of any law or regulation in force in the applicable jurisdiction and is not otherwise addressed above, in Annex II, or in the Online Prohibited List. 

4. RELATIONSHIP WITH OTHER POLICIES 

This AUP shall be read and interpreted together with the Terms, Annex II (Prohibited and Restricted Products, Activities, and Businesses), the Online Prohibited List, and Cartpanda’s Advertising & Media Policy. Standards governing marketing, advertising, endorsements, synthetic or AI-generated content, and promotional conduct are set out exclusively in the Advertising & Media Policy and in Annex I to the Terms. 

5. ENFORCEMENT 

Any violation of this AUP constitutes a violation of Section 7.4 of the Terms and Annex II, and entitles Cartpanda, at its sole discretion and without prior notice, to take any action available under the Terms and Annex II (Section 7), including: (a) removing or disabling the offending Product listing; (b) suspending or terminating the Supplier’s account and access to the Services; (c) withholding or forfeiting any unpaid Supplier Payments; and (d) pursuing any and all legal remedies available, including indemnification. Enforcement follows the escalation framework (warning, suspension, and termination) described in Annex II, without prejudice to Cartpanda’s right to proceed directly to any level in cases involving fraud, illegality, or material risk. 

6. CHANGES AND UPDATES 

Cartpanda may amend this AUP at any time by posting a revised version at cartpanda.com. By continuing to use the Services after a revised version has been posted, the Supplier agrees to comply with the latest version. This AUP takes effect upon its publication date and remains in force indefinitely.

Any violation of this AUP constitutes a violation of Section 7.4 of the Terms and Annex II, and entitles Cartpanda, at its sole discretion and without prior notice, to take any action available under the Terms and Annex II (Section 7), including: (a) removing or disabling the offending Product listing; (b) suspending or terminating the Supplier’s account and access to the Services; (c) withholding or forfeiting any unpaid Supplier Payments; and (d) pursuing any and all legal remedies available, including indemnification. Enforcement follows the escalation framework (warning, suspension, and termination) described in Annex II, without prejudice to Cartpanda’s right to proceed directly to any level in cases involving fraud, illegality, or material risk. 

6. CHANGES AND UPDATES 

Cartpanda may amend this AUP at any time by posting a revised version at cartpanda.com. The Supplier shall not offer any Product that has not been duly homologated, approved, registered, cleared, or authorized by the competent regulatory agencies of the applicable jurisdiction where such approval is required — for example, and depending on the market, the U.S. Food and Drug Administration (FDA) or Federal Communications Commission (FCC), or, in Brazil, ANVISA, ANATEL, INMETRO, or ANS, among other competent authorities in other jurisdictions — nor any Product that has been reported by a competent authority, recalled or withdrawn from the market by its manufacturer, or that represents a risk to the health, safety, or integrity of consumers. 

3.3. Goods Subject to Governmental Restriction 

The Supplier shall not offer any Product whose commercialization is restricted to a specific group or subject to legal warnings without the appropriate warnings required by law — such as alcoholic beverages and similar age- or condition-restricted goods. 

3.4. Replicas and Counterfeit Goods 

Consistent with Annex II (Section 3.9) to the Terms, the Supplier shall not offer any good that is an unauthorized imitation of an authentic item or that infringes the intellectual property rights of third parties, including: (a) replicas of goods from recognized brands; (b) goods using trademarks or logos without proper authorization; and (c) goods violating the copyrights or intellectual property of third parties. Suppliers are responsible for ensuring that all Products listed are authentic and lawful, and may report suspected replicas or counterfeit Products to report@cartpanda.com. 

3.5. Child Safety 

The Supplier shall not offer any Product, or post or upload any Materials, that exploit or abuse children, including any image or depiction of child abuse or sexual abuse, or that present a child in a sexual manner. This prohibition is absolute and admits no exception. Suspected violations will be reported to the competent authorities. 

3.6. Other Prohibited Goods 

The Supplier shall not offer any other Product that involves illicit activities or represents a violation of any law or regulation in force in the applicable jurisdiction and is not otherwise addressed above, in Annex II, or in the Online Prohibited List. 

4. RELATIONSHIP WITH OTHER POLICIES 

This AUP shall be read and interpreted together with the Terms, Annex II (Prohibited and Restricted Products, Activities, and Businesses), the Online Prohibited List, and Cartpanda’s Advertising & Media Policy. Standards governing marketing, advertising, endorsements, synthetic or AI-generated content, and promotional conduct are set out exclusively in the Advertising & Media Policy and in Annex I to the Terms. 

5. ENFORCEMENT 

Any violation of this AUP constitutes a violation of Section 7.4 of the Terms and Annex II, and entitles Cartpanda, at its sole discretion and without prior notice, to take any action available under the Terms and Annex II (Section 7), including: (a) removing or disabling the offending Product listing; (b) suspending or terminating the Supplier’s account and access to the Services; (c) withholding or forfeiting any unpaid Supplier Payments; and (d) pursuing any and all legal remedies available, including indemnification. Enforcement follows the escalation framework (warning, suspension, and termination) described in Annex II, without prejudice to Cartpanda’s right to proceed directly to any level in cases involving fraud, illegality, or material risk. 

6. CHANGES AND UPDATES 

Cartpanda may amend this AUP at any time by posting a revised version at cartpanda.com. By continuing to use the Services after a revised version has been posted, the Supplier agrees to comply with the latest version. This AUP takes effect upon its publication date and remains in force indefinitely.
