CARTPANDA TECNOLOGIA DE SOFTWARE LTDA, CNPJ No. 46.698.364/0001-98, with its principal place of business at Avenida Brigadeiro Faria Lima, No. 2.369, 11th floor, Suite No. 1.102, Jardim Paulistano, São Paulo/SP, CEP 01452-922, hereinafter referred to as “CARTPANDA”;
CARTPANDA TECNOLOGIA DE PAGAMENTOS LTDA, CNPJ No. 26.224.823/0001-94, with its principal place of business at Avenida Francisco Monteiro, No. 1.206, 3rd Floor, Room No. 306, Santana, Ribeirão Pires/SP, CEP 09406-300, hereinafter referred to as “CARTPANDA PAY”;
CARTPANDA INC., a company organized under the laws of Delaware, with its principal place of business at 555 Republic Dr, Plano, Texas, 75074, hereinafter referred to as “CARTPANDA USA”.
Collectively referred to as the “CARTPANDA GROUP,” the above-identified companies hereby institute these Cartpanda Run – Revenue Race 2025 Terms (“Terms”), which govern participation and the granting of a single reward to the winner of the Revenue Race to be held from October 1, 2025 through December 31, 2025 (the “Race Period”).
DEFINITIONS:
The following definitions apply to these Terms:
Affiliate(s): An individual or legal entity acting as a marketing or resale partner, promoting products of Sellers (also referred to as “Producers” in the context of Affiliates) on the Cartpanda Platform in exchange for commissions calculated under models such as CPA (flat amount) or RevShare (percentage of sales).
Brazil Program: The designation for any Seller or Affiliate whose Cartpanda Account was created with an address in Brazil.
Cartpanda Account: The primary registration of a Seller or Affiliate with the CARTPANDA GROUP.
Cartpanda Account Country of Creation: The country and address provided and verified at the time of the Seller’s or Affiliate’s initial registration on the Cartpanda Platform. This criterion definitively assigns the participant’s designation (Brazil or Global), regardless of the nationality of the account holder or its representatives, the location of linked Stores, or any subsequent changes to registration information.
Co-Producer (or Coproducer): A Seller who, in addition to potentially operating its own Stores, receives a share/commission for creating, co-producing, and/or marketing products together with another Seller (the “Producer”). For purposes of these Terms, a Co-Producer is treated as a Seller.
Global Program: The designation for any Seller or Affiliate whose Cartpanda Account was created with an address outside Brazil. Nationality, the location of linked Stores, and any subsequent registration updates do not change this assignment.
Participant: For purposes of these Terms, the term means any eligible Seller or Affiliate participating in the Cartpanda Run.
Producer(s): A Seller whose products or services are promoted by Affiliates on the Cartpanda Platform.
Revenue: A – Seller. Solely for purposes of these Terms, Revenue means the volume processed and settled via Cartpanda Pay during the Race Period, net of refunds, reversals, fees, and chargebacks. The base currency is: (i) Brazil Program — BRL: only Revenue in Brazilian reais (BRL), starting from BRL 0.00, with amounts processed through other gateways excluded; (ii) Global Program — USD: only Revenue in U.S. dollars (USD), starting from USD 0.00, net of the same items above. B – Affiliate. The total net commissions actually received during the Race Period, consolidated across all Producers to which the Affiliate is linked, regardless of compensation model (CPA and/or RevShare), net of refunds, reversals, fees, and chargebacks. The base currency is BRL or USD according to the Cartpanda Account Country of Creation; when necessary, currency conversion may be applied per the CARTPANDA GROUP’s operating criteria.
Seller: The individual or legal entity that owns the Cartpanda Account as reflected in the CARTPANDA GROUP’s systems, responsible for the Stores linked to that Account and for the Revenue from sales made through those Stores. A Seller is uniquely identified, as applicable, by taxpayer ID, passport, driver’s license, or another official identifier or business registration accepted at the CARTPANDA GROUP’s discretion.
Store(s): Store Slugs associated with the Seller and enabled to operate on the Cartpanda Platform. For Program purposes, the Seller’s Revenue is aggregated across all of its Stores.
1. CARTPANDA RUN SCOPE
1.1. These Terms govern the Cartpanda Run revenue race, a merit- and performance-based competition open exclusively to Sellers and Affiliates with a valid, active, and eligible Cartpanda Account, as set forth herein (“Cartpanda Run” or the “Race”). This is a promotional and incentive initiative; it is not a sweepstakes, contest, or other prize modality subject to governmental authorization.
1.2. The Cartpanda Run determines, within a defined period, the Participant that achieves the highest net Revenue on the Cartpanda Platform, as defined in these Terms. At the end of the period, a single winner will be recognized and granted the reward provided herein. There is no split, division, or multiple winners.
1.3. The Race will begin on October 1, 2025 (00:00:00, UTC−3) and end on December 31, 2025 (23:59:59, UTC−3). Only transactions completed and validated within this interval will be counted, subject to the Revenue criteria defined in these Terms.
2. CRITERIA AND TERMS
2.1. Eligible Participants are Sellers or Affiliates duly registered, with a valid and active Cartpanda Account, provided that: (i) the Account is verified (KYC/KYB and other requested checks); (ii) they have adhered to and comply with the Terms of Use, Policies (including the Prohibited Products Policy), and applicable agreements; (iii) they are current with payment obligations and in good standing for registration and tax purposes; and (iv) they are not suspended or under investigation for fraud, abuse, or violations of policies and applicable agreements. The CARTPANDA GROUP may request documents, conduct audits, and refuse, suspend, or exclude participation if these requirements are not met.
2.2. For calculation purposes, a Seller’s Revenue will be consolidated across all of its Stores, considering transactions captured and/or settled per Cartpanda’s operating criteria for the Race Period. Cancellations and invalid transactions will be disregarded and, where applicable, refunds and chargebacks deducted. The records of the CARTPANDA GROUP’s systems and its payment processors constitute the official source for verification and any adjustments to calculations.
2.3. If a Participant’s combined refunds and chargebacks rate equals or exceeds 10% of its revenue, the CARTPANDA GROUP may disqualify the Participant from the Cartpanda Run, in its sole discretion, upon simple notice. In such case, the Participant will not be entitled to the reward, even if in a winning position.
2.4. If there are indications or suspicions of fraudulent behavior, harmful practices toward consumers, use of strawmen, or transactions involving Prohibited Products, the CARTPANDA GROUP may suspend and/or exclude the Participant upon simple notice and may invalidate, withhold, or revoke any classification as winner.
2.4.1. If indications are identified of artificially created Accounts, use of strawmen, splitting or manipulating sales operations, or any other conduct intended to fraud, manipulate, or distort the Race result, the CARTPANDA GROUP may, in its sole discretion and upon simple notice: (a) disqualify the Participant involved; (b) suspend or exclude the Account used; (c) refuse, withhold, invalidate, or revoke the reward, even if already awarded; and (d) take appropriate administrative, legal, and contractual measures. For verification, the CARTPANDA GROUP may request additional documents (KYC/KYB), conduct audits, and cross-check registration, technical, and transactional information.
2.5. If, at the end of the Race Period, the Participant in first place (whether a Seller or an Affiliate) enjoys differentiated commercial terms on the Cartpanda Platform, granting of the reward will be subject to the sole discretion of the CARTPANDA GROUP, which may confirm, adjust, or deny it based on the specific circumstances. For Affiliates, this analysis may also consider the commercial terms applicable to the Producers associated with the commissions comprising the Affiliate’s Revenue.
2.6. A Participant that, at any time during the Race Period, is de-credentialed, suspended, or excluded from the Cartpanda Platform will automatically lose eligibility for the Cartpanda Run. In such case, even if its revenue would have placed it as winner, it will not be entitled to the reward due to failure to meet the valid and active Account requirement in Item 2.1.
2.7. The CARTPANDA GROUP may, in its sole discretion and without prior notice, change, replace, or discontinue the originally announced reward with another good, service, or experience of equivalent value or standard, in case of unavailability, logistical infeasibility, import/tax issues, or any factor beyond the CARTPANDA GROUP’s control.
3. CALCULATION AND REWARD
3.1. The Cartpanda Run will be calculated in a single, consolidated overall ranking, without distinction between the Brazil Program and the Global Program, considering only net Revenue processed and settled via Cartpanda Pay during the Race Period, after refunds, reversals, fees, and chargebacks. To ensure comparability, each order will be automatically converted, in real time, to the operating reference currency defined by the CARTPANDA GROUP, under uniform internal criteria applicable to all Participants. At the end of the Race, one single winner will be recognized—the Participant with the highest consolidated net Revenue calculated under these Terms—and the reward will be granted once only, with no split or duplication.
3.2. Upon the end of the Race Period, the winner will be the Participant that achieves the highest net Revenue, as defined herein. There will be one overall winner, corresponding to the highest consolidated Revenue across the Brazil and Global Programs.
3.3. Reward. The winner shall receive one Porsche 718 (the “Reward”). The CARTPANDA GROUP reserves the right, in its sole discretion, to substitute a reward of comparable value and prestige.
3.4. The CARTPANDA GROUP shall establish, in its sole discretion, the time, manner, and location of delivery, which shall be communicated to the winner with reasonable notice. Delivery is conditioned upon the winner’s full compliance with the documentation and registration requirements prescribed in these Terms and with any legal prerequisites necessary to effectuate transfer of the Reward.
3.5. The reward is not transferable, negotiable, or convertible to cash and may not be assigned to third parties. The CARTPANDA GROUP may, in its sole discretion, replace the originally announced reward with another good, service, or experience of equivalent value or standard in case of unavailability, infeasibility, or change of circumstances.
3.6. Resolutory condition. If the winner fails to meet any eligibility requirement up to the actual delivery (e.g., Account cancellation/block, fraud, irregularity, or de-credentialing), the reward will be automatically revoked, without any compensation. In such case, the CARTPANDA GROUP may, in its sole discretion, grant the reward to the next-placed Participant or discontinue its granting.
3.7. Tie-break. In the event of a tie in final Revenue between two or more Participants, the following criteria will apply, successively: (a) the Participant with the greater number of valid transactions completed in the Race Period prevails; (b) if still tied, the Participant with the longer active and continuous relationship with the Cartpanda Platform prevails; (c) as a last resort, the CARTPANDA GROUP may, in its sole discretion, declare as winner the Participant deemed more aligned with the Platform’s compliance practices and performance, and will communicate its decision as final and non-appealable.
3.8. Costs, charges, and taxes. The winner is solely responsible for all costs, charges, taxes, and expenses incident to or arising from receipt of the reward, including, without limitation, vehicle taxes/fees, mandatory and optional insurance, licensing, registration, maintenance, and any other related expenses. The CARTPANDA GROUP will not be responsible for such expenses under any circumstances; payment of these amounts is the winner’s exclusive responsibility as a condition for enjoying the reward.
4. TERM
4.1. The Cartpanda Run begins on October 1, 2025 and ends on December 31, 2025, during which the Participants’ Revenue will be calculated as set forth herein.
4.2. The CARTPANDA GROUP may, in its sole discretion, amend, suspend, or terminate the Race before the end date by communication through its official channels. In such cases, no vested rights will be created for Participants, except where results have already been formally validated and communicated to the winner, in which case the reward will be honored, except in cases of fraud, abuse, anti-circumvention, irregularity, or de-credentialing.
5. MISCELLANEOUS
5.1. Participation in the Cartpanda Run constitutes the participating Sellers’ and Affiliates’ full acceptance of these Terms.
5.2. Participants hereby authorize the CARTPANDA GROUP, for an indefinite period and free of charge, to use their names, voices, and images (including those of their representatives and personnel) to publicize the Race and its results, in any media and worldwide.
5.3. Any doubts, divergences, or matters not addressed in these Terms will be resolved at the sole discretion of the CARTPANDA GROUP.
5.4. These Terms will be available on the CARTPANDA GROUP’s official website and institutional communication channels.
5.5. The CARTPANDA GROUP reserves the right, at any time, to amend, suspend, or terminate the Race, including on account of force majeure, acts of God, or any external interference, by communication through its official channels. In such cases, no vested rights will arise for Participants, except with respect to a winner already formally validated and notified.
5.6. The Cartpanda Run is instituted as a courtesy by the CARTPANDA GROUP, with no obligation of continuity in subsequent years.
5.7. Failure by the CARTPANDA GROUP to exercise any rights under these Terms will not constitute a waiver, novation, or modification of such rights, which may be exercised at any time.
5.8. In the event of fraud, attempted fraud, abuse, or violation of these Terms, the Participant will be automatically disqualified upon simple notice, and the reward may be refused, invalidated, or revoked.
5.9. The CARTPANDA GROUP will not be liable, under any circumstances, for any damages, losses, or harm of a direct, indirect, moral, material, bodily, or health-related nature arising from participation in the Cartpanda Run, including, without limitation: (i) technical unavailability, system failures, communication or connectivity issues; (ii) acts or omissions of third parties involved in the logistical or administrative execution of the reward; and (iii) force majeure or acts of God.
5.10. Participation in the Cartpanda Run implies awareness that the reward is granted on a free and promotional basis and does not create a consumer relationship or indemnity obligation by the CARTPANDA GROUP, except where applicable law expressly imposes non-waivable responsibility.
5.11. The winner must provide all requested information and documents within 30 (thirty) days from the eligibility notice to enable delivery of the reward. Failure to meet the deadline will result in non-refundable forfeiture of the reward.
5.12. The reward is personal and non-transferable and may not be converted into money or other goods/services, except as a courtesy at the CARTPANDA GROUP’s discretion.
5.13. The Cartpanda Run is not a game of chance or a lottery, but a merit- and performance-based competition, and therefore is not subject to prior authorization by Brazil’s Ministry of Finance, pursuant to Article 1 of Law No. 5,768/71.
5.14. Governing forum and venue. The parties irrevocably submit to the exclusive jurisdiction and venue of the courts of São Paulo, State of São Paulo, Brazil, for any claim arising out of or relating to these Terms, except where exclusive jurisdiction is mandated by law.

4. TERM
4.1. The Cartpanda Run begins on October 1, 2025 and ends on December 31, 2025, during which the Participants’ Revenue will be calculated as set forth herein.
4.2. The CARTPANDA GROUP may, in its sole discretion, amend, suspend, or terminate the Race before the end date by communication through its official channels. In such cases, no vested rights will be created for Participants, except where results have already been formally validated and communicated to the winner, in which case the reward will be honored, except in cases of fraud, abuse, anti-circumvention, irregularity, or de-credentialing.
5. MISCELLANEOUS
5.1. Participation in the Cartpanda Run constitutes the participating Sellers’ and Affiliates’ full acceptance of these Terms.
5.2. Participants hereby authorize the CARTPANDA GROUP, for an indefinite period and free of charge, to use their names, voices, and images (including those of their representatives and personnel) to publicize the Race and its results, in any media and worldwide.
5.3. Any doubts, divergences, or matters not addressed in these Terms will be resolved at the sole discretion of the CARTPANDA GROUP.
5.4. These Terms will be available on the CARTPANDA GROUP’s official website and institutional communication channels.
5.5. The CARTPANDA GROUP reserves the right, at any time, to amend, suspend, or terminate the Race, including on account of force majeure, acts of God, or any external interference, by communication through its official channels. In such cases, no vested rights will arise for Participants, except with respect to a winner already formally validated and notified.
5.6. The Cartpanda Run is instituted as a courtesy by the CARTPANDA GROUP, with no obligation of continuity in subsequent years.
5.7. Failure by the CARTPANDA GROUP to exercise any rights under these Terms will not constitute a waiver, novation, or modification of such rights, which may be exercised at any time.
5.8. In the event of fraud, attempted fraud, abuse, or violation of these Terms, the Participant will be automatically disqualified upon simple notice, and the reward may be refused, invalidated, or revoked.
5.9. The CARTPANDA GROUP will not be liable, under any circumstances, for any damages, losses, or harm of a direct, indirect, moral, material, bodily, or health-related nature arising from participation in the Cartpanda Run, including, without limitation: (i) technical unavailability, system failures, communication or connectivity issues; (ii) acts or omissions of third parties involved in the logistical or administrative execution of the reward; and (iii) force majeure or acts of God.
5.10. Participation in the Cartpanda Run implies awareness that the reward is granted on a free and promotional basis and does not create a consumer relationship or indemnity obligation by the CARTPANDA GROUP, except where applicable law expressly imposes non-waivable responsibility.
5.11. The winner must provide all requested information and documents within 30 (thirty) days from the eligibility notice to enable delivery of the reward. Failure to meet the deadline will result in non-refundable forfeiture of the reward.
5.12. The reward is personal and non-transferable and may not be converted into money or other goods/services, except as a courtesy at the CARTPANDA GROUP’s discretion.
5.13. The Cartpanda Run is not a game of chance or a lottery, but a merit- and performance-based competition, and therefore is not subject to prior authorization by Brazil’s Ministry of Finance, pursuant to Article 1 of Law No. 5,768/71.
5.14. Governing forum and venue. The parties irrevocably submit to the exclusive jurisdiction and venue of the courts of São Paulo, State of São Paulo, Brazil, for any claim arising out of or relating to these Terms, except where exclusive jurisdiction is mandated by law.

Collectively referred to as the “CARTPANDA GROUP,” the above-identified companies hereby institute these Cartpanda Run – Revenue Race 2025 Terms (“Terms”), which govern participation and the granting of a single reward to the winner of the Revenue Race to be held from October 1, 2025 through December 31, 2025 (the “Race Period”).
DEFINITIONS:
The following definitions apply to these Terms:
Affiliate(s): An individual or legal entity acting as a marketing or resale partner, promoting products of Sellers (also referred to as “Producers” in the context of Affiliates) on the Cartpanda Platform in exchange for commissions calculated under models such as CPA (flat amount) or RevShare (percentage of sales).
Brazil Program: The designation for any Seller or Affiliate whose Cartpanda Account was created with an address in Brazil.
Cartpanda Account: The primary registration of a Seller or Affiliate with the CARTPANDA GROUP.
Cartpanda Account Country of Creation: The country and address provided and verified at the time of the Seller’s or Affiliate’s initial registration on the Cartpanda Platform. This criterion definitively assigns the participant’s designation (Brazil or Global), regardless of the nationality of the account holder or its representatives, the location of linked Stores, or any subsequent changes to registration information.
Co-Producer (or Coproducer): A Seller who, in addition to potentially operating its own Stores, receives a share/commission for creating, co-producing, and/or marketing products together with another Seller (the “Producer”). For purposes of these Terms, a Co-Producer is treated as a Seller.
Global Program: The designation for any Seller or Affiliate whose Cartpanda Account was created with an address outside Brazil. Nationality, the location of linked Stores, and any subsequent registration updates do not change this assignment.
Participant: For purposes of these Terms, the term means any eligible Seller or Affiliate participating in the Cartpanda Run.
Producer(s): A Seller whose products or services are promoted by Affiliates on the Cartpanda Platform.
Revenue: A – Seller. Solely for purposes of these Terms, Revenue means the volume processed and settled via Cartpanda Pay during the Race Period, net of refunds, reversals, fees, and chargebacks. The base currency is: (i) Brazil Program — BRL: only Revenue in Brazilian reais (BRL), starting from BRL 0.00, with amounts processed through other gateways excluded; (ii) Global Program — USD: only Revenue in U.S. dollars (USD), starting from USD 0.00, net of the same items above. B – Affiliate. The total net commissions actually received during the Race Period, consolidated across all Producers to which the Affiliate is linked, regardless of compensation model (CPA and/or RevShare), net of refunds, reversals, fees, and chargebacks. The base currency is BRL or USD according to the Cartpanda Account Country of Creation; when necessary, currency conversion may be applied per the CARTPANDA GROUP’s operating criteria.
Seller: The individual or legal entity that owns the Cartpanda Account as reflected in the CARTPANDA GROUP’s systems, responsible for the Stores linked to that Account and for the Revenue from sales made through those Stores. A Seller is uniquely identified, as applicable, by taxpayer ID, passport, driver’s license, or another official identifier or business registration accepted at the CARTPANDA GROUP’s discretion.
Store(s): Store Slugs associated with the Seller and enabled to operate on the Cartpanda Platform. For Program purposes, the Seller’s Revenue is aggregated across all of its Stores.
1. CARTPANDA RUN SCOPE
1.1. These Terms govern the Cartpanda Run revenue race, a merit- and performance-based competition open exclusively to Sellers and Affiliates with a valid, active, and eligible Cartpanda Account, as set forth herein (“Cartpanda Run” or the “Race”). This is a promotional and incentive initiative; it is not a sweepstakes, contest, or other prize modality subject to governmental authorization.
1.2. The Cartpanda Run determines, within a defined period, the Participant that achieves the highest net Revenue on the Cartpanda Platform, as defined in these Terms. At the end of the period, a single winner will be recognized and granted the reward provided herein. There is no split, division, or multiple winners.
1.3. The Race will begin on October 1, 2025 (00:00:00, UTC−3) and end on December 31, 2025 (23:59:59, UTC−3). Only transactions completed and validated within this interval will be counted, subject to the Revenue criteria defined in these Terms.
2. CRITERIA AND TERMS
2.1. Eligible Participants are Sellers or Affiliates duly registered, with a valid and active Cartpanda Account, provided that: (i) the Account is verified (KYC/KYB and other requested checks); (ii) they have adhered to and comply with the Terms of Use, Policies (including the Prohibited Products Policy), and applicable agreements; (iii) they are current with payment obligations and in good standing for registration and tax purposes; and (iv) they are not suspended or under investigation for fraud, abuse, or violations of policies and applicable agreements. The CARTPANDA GROUP may request documents, conduct audits, and refuse, suspend, or exclude participation if these requirements are not met.
2.2. For calculation purposes, a Seller’s Revenue will be consolidated across all of its Stores, considering transactions captured and/or settled per Cartpanda’s operating criteria for the Race Period. Cancellations and invalid transactions will be disregarded and, where applicable, refunds and chargebacks deducted. The records of the CARTPANDA GROUP’s systems and its payment processors constitute the official source for verification and any adjustments to calculations.
2.3. If a Participant’s combined refunds and chargebacks rate equals or exceeds 10% of its revenue, the CARTPANDA GROUP may disqualify the Participant from the Cartpanda Run, in its sole discretion, upon simple notice. In such case, the Participant will not be entitled to the reward, even if in a winning position.
2.4. If there are indications or suspicions of fraudulent behavior, harmful practices toward consumers, use of strawmen, or transactions involving Prohibited Products, the CARTPANDA GROUP may suspend and/or exclude the Participant upon simple notice and may invalidate, withhold, or revoke any classification as winner.
2.4.1. If indications are identified of artificially created Accounts, use of strawmen, splitting or manipulating sales operations, or any other conduct intended to fraud, manipulate, or distort the Race result, the CARTPANDA GROUP may, in its sole discretion and upon simple notice: (a) disqualify the Participant involved; (b) suspend or exclude the Account used; (c) refuse, withhold, invalidate, or revoke the reward, even if already awarded; and (d) take appropriate administrative, legal, and contractual measures. For verification, the CARTPANDA GROUP may request additional documents (KYC/KYB), conduct audits, and cross-check registration, technical, and transactional information.
2.5. If, at the end of the Race Period, the Participant in first place (whether a Seller or an Affiliate) enjoys differentiated commercial terms on the Cartpanda Platform, granting of the reward will be subject to the sole discretion of the CARTPANDA GROUP, which may confirm, adjust, or deny it based on the specific circumstances. For Affiliates, this analysis may also consider the commercial terms applicable to the Producers associated with the commissions comprising the Affiliate’s Revenue.
2.6. A Participant that, at any time during the Race Period, is de-credentialed, suspended, or excluded from the Cartpanda Platform will automatically lose eligibility for the Cartpanda Run. In such case, even if its revenue would have placed it as winner, it will not be entitled to the reward due to failure to meet the valid and active Account requirement in Item 2.1.
2.7. The CARTPANDA GROUP may, in its sole discretion and without prior notice, change, replace, or discontinue the originally announced reward with another good, service, or experience of equivalent value or standard, in case of unavailability, logistical infeasibility, import/tax issues, or any factor beyond the CARTPANDA GROUP’s control.
3. CALCULATION AND REWARD
3.1. The Cartpanda Run will be calculated in a single, consolidated overall ranking, without distinction between the Brazil Program and the Global Program, considering only net Revenue processed and settled via Cartpanda Pay during the Race Period, after refunds, reversals, fees, and chargebacks. To ensure comparability, each order will be automatically converted, in real time, to the operating reference currency defined by the CARTPANDA GROUP, under uniform internal criteria applicable to all Participants. At the end of the Race, one single winner will be recognized—the Participant with the highest consolidated net Revenue calculated under these Terms—and the reward will be granted once only, with no split or duplication.
3.2. Upon the end of the Race Period, the winner will be the Participant that achieves the highest net Revenue, as defined herein. There will be one overall winner, corresponding to the highest consolidated Revenue across the Brazil and Global Programs.
3.3. Reward. The winner shall receive one Porsche 718 (the “Reward”). The CARTPANDA GROUP reserves the right, in its sole discretion, to substitute a reward of comparable value and prestige.
3.4. The CARTPANDA GROUP shall establish, in its sole discretion, the time, manner, and location of delivery, which shall be communicated to the winner with reasonable notice. Delivery is conditioned upon the winner’s full compliance with the documentation and registration requirements prescribed in these Terms and with any legal prerequisites necessary to effectuate transfer of the Reward.
3.5. The reward is not transferable, negotiable, or convertible to cash and may not be assigned to third parties. The CARTPANDA GROUP may, in its sole discretion, replace the originally announced reward with another good, service, or experience of equivalent value or standard in case of unavailability, infeasibility, or change of circumstances.
3.6. Resolutory condition. If the winner fails to meet any eligibility requirement up to the actual delivery (e.g., Account cancellation/block, fraud, irregularity, or de-credentialing), the reward will be automatically revoked, without any compensation. In such case, the CARTPANDA GROUP may, in its sole discretion, grant the reward to the next-placed Participant or discontinue its granting.
3.7. Tie-break. In the event of a tie in final Revenue between two or more Participants, the following criteria will apply, successively: (a) the Participant with the greater number of valid transactions completed in the Race Period prevails; (b) if still tied, the Participant with the longer active and continuous relationship with the Cartpanda Platform prevails; (c) as a last resort, the CARTPANDA GROUP may, in its sole discretion, declare as winner the Participant deemed more aligned with the Platform’s compliance practices and performance, and will communicate its decision as final and non-appealable.
3.8. Costs, charges, and taxes. The winner is solely responsible for all costs, charges, taxes, and expenses incident to or arising from receipt of the reward, including, without limitation, vehicle taxes/fees, mandatory and optional insurance, licensing, registration, maintenance, and any other related expenses. The CARTPANDA GROUP will not be responsible for such expenses under any circumstances; payment of these amounts is the winner’s exclusive responsibility as a condition for enjoying the reward.

The CARTPANDA GROUP may, in its sole discretion and without prior notice, change, replace, or discontinue the originally announced reward with another good, service, or experience of equivalent value or standard, in case of unavailability, logistical infeasibility, import/tax issues, or any factor beyond the CARTPANDA GROUP’s control.
3. CALCULATION AND REWARD
3.1. The Cartpanda Run will be calculated in a single, consolidated overall ranking, without distinction between the Brazil Program and the Global Program, considering only net Revenue processed and settled via Cartpanda Pay during the Race Period, after refunds, reversals, fees, and chargebacks. To ensure comparability, each order will be automatically converted, in real time, to the operating reference currency defined by the CARTPANDA GROUP, under uniform internal criteria applicable to all Participants. At the end of the Race, one single winner will be recognized—the Participant with the highest consolidated net Revenue calculated under these Terms—and the reward will be granted once only, with no split or duplication.
3.2. Upon the end of the Race Period, the winner will be the Participant that achieves the highest net Revenue, as defined herein. There will be one overall winner, corresponding to the highest consolidated Revenue across the Brazil and Global Programs.
3.3. Reward. The winner shall receive one Porsche 718 (the “Reward”). The CARTPANDA GROUP reserves the right, in its sole discretion, to substitute a reward of comparable value and prestige.
3.4. The CARTPANDA GROUP shall establish, in its sole discretion, the time, manner, and location of delivery, which shall be communicated to the winner with reasonable notice. Delivery is conditioned upon the winner’s full compliance with the documentation and registration requirements prescribed in these Terms and with any legal prerequisites necessary to effectuate transfer of the Reward.
3.5. The reward is not transferable, negotiable, or convertible to cash and may not be assigned to third parties. The CARTPANDA GROUP may, in its sole discretion, replace the originally announced reward with another good, service, or experience of equivalent value or standard in case of unavailability, infeasibility, or change of circumstances.
3.6. Resolutory condition. If the winner fails to meet any eligibility requirement up to the actual delivery (e.g., Account cancellation/block, fraud, irregularity, or de-credentialing), the reward will be automatically revoked, without any compensation. In such case, the CARTPANDA GROUP may, in its sole discretion, grant the reward to the next-placed Participant or discontinue its granting.
3.7. Tie-break. In the event of a tie in final Revenue between two or more Participants, the following criteria will apply, successively: (a) the Participant with the greater number of valid transactions completed in the Race Period prevails; (b) if still tied, the Participant with the longer active and continuous relationship with the Cartpanda Platform prevails; (c) as a last resort, the CARTPANDA GROUP may, in its sole discretion, declare as winner the Participant deemed more aligned with the Platform’s compliance practices and performance, and will communicate its decision as final and non-appealable.
3.8. Costs, charges, and taxes. The winner is solely responsible for all costs, charges, taxes, and expenses incident to or arising from receipt of the reward, including, without limitation, vehicle taxes/fees, mandatory and optional insurance, licensing, registration, maintenance, and any other related expenses. The CARTPANDA GROUP will not be responsible for such expenses under any circumstances; payment of these amounts is the winner’s exclusive responsibility as a condition for enjoying the reward.
4. TERM
4.1. The Cartpanda Run begins on October 1, 2025 and ends on December 31, 2025, during which the Participants’ Revenue will be calculated as set forth herein.
4.2. The CARTPANDA GROUP may, in its sole discretion, amend, suspend, or terminate the Race before the end date by communication through its official channels. In such cases, no vested rights will be created for Participants, except where results have already been formally validated and communicated to the winner, in which case the reward will be honored, except in cases of fraud, abuse, anti-circumvention, irregularity, or de-credentialing.
5. MISCELLANEOUS
5.1. Participation in the Cartpanda Run constitutes the participating Sellers’ and Affiliates’ full acceptance of these Terms.
5.2. Participants hereby authorize the CARTPANDA GROUP, for an indefinite period and free of charge, to use their names, voices, and images (including those of their representatives and personnel) to publicize the Race and its results, in any media and worldwide.
5.3. Any doubts, divergences, or matters not addressed in these Terms will be resolved at the sole discretion of the CARTPANDA GROUP.
5.4. These Terms will be available on the CARTPANDA GROUP’s official website and institutional communication channels.
5.5. The CARTPANDA GROUP reserves the right, at any time, to amend, suspend, or terminate the Race, including on account of force majeure, acts of God, or any external interference, by communication through its official channels. In such cases, no vested rights will arise for Participants, except with respect to a winner already formally validated and notified.
5.6. The Cartpanda Run is instituted as a courtesy by the CARTPANDA GROUP, with no obligation of continuity in subsequent years.
5.7. Failure by the CARTPANDA GROUP to exercise any rights under these Terms will not constitute a waiver, novation, or modification of such rights, which may be exercised at any time.
5.8. In the event of fraud, attempted fraud, abuse, or violation of these Terms, the Participant will be automatically disqualified upon simple notice, and the reward may be refused, invalidated, or revoked.
5.9. The CARTPANDA GROUP will not be liable, under any circumstances, for any damages, losses, or harm of a direct, indirect, moral, material, bodily, or health-related nature arising from participation in the Cartpanda Run, including, without limitation: (i) technical unavailability, system failures, communication or connectivity issues; (ii) acts or omissions of third parties involved in the logistical or administrative execution of the reward; and (iii) force majeure or acts of God.
5.10. Participation in the Cartpanda Run implies awareness that the reward is granted on a free and promotional basis and does not create a consumer relationship or indemnity obligation by the CARTPANDA GROUP, except where applicable law expressly imposes non-waivable responsibility.
5.11. The winner must provide all requested information and documents within 30 (thirty) days from the eligibility notice to enable delivery of the reward. Failure to meet the deadline will result in non-refundable forfeiture of the reward.
5.12. The reward is personal and non-transferable and may not be converted into money or other goods/services, except as a courtesy at the CARTPANDA GROUP’s discretion.
5.13. The Cartpanda Run is not a game of chance or a lottery, but a merit- and performance-based competition, and therefore is not subject to prior authorization by Brazil’s Ministry of Finance, pursuant to Article 1 of Law No. 5,768/71.
5.14. Governing forum and venue. The parties irrevocably submit to the exclusive jurisdiction and venue of the courts of São Paulo, State of São Paulo, Brazil, for any claim arising out of or relating to these Terms, except where exclusive jurisdiction is mandated by law.
